WHAT THE TIM BOARD DECIDED

Tim's Board of Directors, which met yesterday under the chairmanship of Salvatore Rossi, completed the process of defining its own list of candidates for the renewal of the Board, which aims to be a majority.

In line with the guidelines on the optimal qualitative and quantitative composition of the Company's administrative body approved last 18 January – as stated in a press release – the Board of Directors has decided, unanimously, to propose the appointment, with a three-year mandate ( until the Assembly called to approve the financial statements as of 31 December 2026), of a Board composed of nine members, taking into account the business deterioration that will result from the execution of the Delayering Plan and consistently with the long-term trend in comparable companies , with the practice underway in various large listed companies and with the opportunity to contain the out-of-pocket costs of corporate governance.

Furthermore, not being able to exclude different decisions by the members regarding the quantitative composition of the Board, the Board decided – with the abstention of three Directors – to present a list of 15 candidates (number corresponding to the current size of the body) composed , in order, from:
