The company led by Andrea Pizzarulli, which provides information on the position, geographic north and attitude of ships, aircraft, missiles, then robots and miners, is also a supplier to Bae Systems for the inertial systems of the Tempest, a program for the United Kingdom, Italy and Japan for the development of the sixth generation fighter jet, now Gcap. In September Civitanavi had also signed an agreement with Honeywell to launch a new inertial measurement system for the international market in the industrial and defense sectors.

In a note, Honeywell therefore announced that it will launch a voluntary public purchase offer to acquire all the shares comprising the capital of Civitanavi for a purchase price of 6.30 euros per share in cash (a net asset value of approximately 200 million euros at closing)

The purchase price that will be payable at the closing of the transaction represents a premium of approximately 27.1% compared to the weighted average trading price for the trades of Civitanavi shares that occurred in the 30-day period prior to March 26, 2024. Furthermore, Honeywell has obtained a commitment from Civitanavi's controlling shareholder , Civitanavi Systems Ltd (owned by Andrea Pizzarulli and Michael Perlmutter), which owns approximately 66% of the outstanding shares, to tender its shares to the public offering of purchase.

CLOSING EXPECTED IN THE THIRD QUARTER OF 2024

Additionally, the transaction is not subject to any financing conditions and is expected to close in the third quarter of 2024, subject to customary closing conditions, including: receipt of required antitrust clearances, receipt of required regulatory approvals on foreign direct investments in Italy, the United Kingdom and Canada and the offer of at least 95% of Civitanavi's outstanding shares, specifies the Honeywell note.

The adjusted ebitda was rose by 32% to 13.1 million, equal to a margin of 28.5%. The APAC market generated revenues of 4.2 million euros, substantially stable compared to the 4.3 million euros at 31 December 2022. The North American market recorded results of 1.2 million euros, down (- 35%), compared to 1.8 million
of Euros as of 31 December 2022. The trend is mainly attributable to the sharing of development costs of the product created for Honeywell. The further agreement with Honeywell signed last year "represents an important strategic growth opportunity, aimed at guaranteeing collaboration in the reference sector" according to Civatanavi.
