Soul, Banco Bpm gives Patrizia Grieco a soul

What emerged from the Anima assembly and how the new board of directors of the sgr will be composed. The election of Patrizia Greco as president, the weight of Banco Bpm, the role of Poste and the aims of Caltagirone.

The former Mps Patrizia Grieco will be the new president of Anima. The shareholders' meeting of the asset management company confirmed Alessandro Melzi d'Eril at the helm and appointed the board with members of all four competing lists. The board of statutory auditors was also elected and the 2022 financial statements, the remuneration policy and the dividend proposal approved.

THE NEW BOARD OF SOUL

Anima's board of directors – which will remain in office for three financial years – will be made up of 11 members (of which 7 independent), as decided by the shareholders' meeting unanimously. All the representatives of the list presented by Banco Bpm, the first shareholder with 20.26% (therefore, in addition to Grieco and Melzi d'Eril, Gianfranco Venuti, Costanza Torricelli and Giovanna Zanotti), Fabio Corsico and Maria Cristina Vismara of the Post Office and Caltagirone list, Marco Tugnolo, from the FSI fund list, Francesco Valsecchi, Paolo Braghieri and Karen Sylvie Nahum for the Assogestioni list.

Of all the new board to attract the attention of many financial analysts is Grieco, the former president of MPS who has decided not to reapply for leadership of Rocca Salimbeni. It seems that the Milanese manager – from 2014 to 2020 at the helm of Enel – has been approaching Francesco Gaetano Caltagirone for some time: the Roman builder and financier managed to enter into a shareholders' agreement with Poste Italiane (which on the received the approval of the Ministry of the Economy) because it is interested – according to some rumors – also in the real estate investments of Anima, given also the recent acquisition of Castello sgr.

THE ROLE OF PATRIZIA GRECO

The attention of many financial analysts with an eye also to the Roman economic buildings have been pinned for days on Patrizia Grieco, until a few days ago MPS president and for many months now approaching Francesco Gaetano Caltagirone. The presence of Grieco in the list has caused some insiders to grumble due to the commercial distribution agreements between Mps and Anima: a circumstance – this is the reasoning that is made among some insiders – which would require at least a cooling-off period between the two roles.

Della Grieco, however, did not escape the scathing declarations against the council lists, although on this issue Assonime, of which Grieco is in turn president, expressed a much more nuanced position. Statements that many have read as a very interested support for Caltagirone at the time of its (ruinous) battle over Generali. But Grieco, as mentioned, successfully headed the list presented by Banco Bpm.

THE OTHER LISTS

Anima had communicated the list of lists presented at the meeting. The first is that of Banco Bpm, which saw all its members elected; the second is instead that presented by Poste Italiane (11%) which has entered into a "shareholders agreement" (text from the press release) with the Caltagirone group (14.2% the total share of the agreement between the shareholders) and which had inside Corsico and Vismara also Maria Annunziata.

The third list, presented by FSI Holding, indicated a single candidate for director, Marco Tugnolo, who later entered as candidate for director. The fourth, the one presented by the investment funds representing 3.16% of the capital, made up of Francesco Valsecchi, Paolo Braghieri and Karen Nahum, also saw all its members elected. So, on balance, only Vismara remained out of the Poste-Caltagirone list.

OTHER ITEMS ON THE AGENDA (BUDGET, REMUNERATION AND DIVIDEND)

The 2022 financial statements were also approved by the shareholders, closing with a consolidated net profit of 120.8 million, and the new board of statutory auditors for the period 2023-2025 of which Mariella Tagliabue was elected president. The shareholders' meeting expressed a favorable opinion on the report on the remuneration policy and on the fees paid by Anima Holding spa for the 2022 financial year. Grieco will therefore receive a gross annual fee of 200 thousand euros and each of the other directors a gross annual fee of 50 thousand euros , instead to the chairman of the Board of Statutory Auditors a gross annual fee of 80 thousand euros and to each of the other standing auditors a gross annual fee of 53 thousand euros. For all also the reimbursement of expenses incurred.

The shareholders of the asset management company also said yes to the distribution of a dividend of 22 cents per share, payable starting from 24 May 2023 (with coupon detachment on 22 May and record date on 23 May). For the extraordinary session, the shareholders' meeting gave the go-ahead for the cancellation of over 17 million treasury shares in the portfolio (equal to 5% of existing shares) without reducing the share capital.
