What Atlantia will do with Siemens Yunex

Atlantia wins Yunex Traffic, leader in smart mobility, from Siemens for 950 million. All the details

Atlantia is awarded the German Yunex Traffic, the traffic management unit of Siemens AG.

The Benetton family holding company yesterday signed a contract with the Siemens group for the purchase of the company Yunex Traffic, for a consideration of 950 million euros.

The formalization – explains a note – takes place at the conclusion of a competitive process initiated in recent months by Siemens, in which Atlantia was successful over numerous international competitors including the Kkr and Bridgepoint funds, the American Cubic and the Chinese Hisens.

Yunex Traffic is one of the most important global operators active in the innovative sector of Intelligent Transport Systems (ITS) and Smart Mobility. The company builds traffic lights and operates associated systems in several cities including Dubai, London, Berlin, Bogota and Miami. With a presence in more than 40 countries, Yunex has an annual turnover of € 600 million.

“With the entry of Yunex Traffic into our group we will take a significant step forward in expanding our business”, commented the CEO of Atlantia Carlo Bertazzo.

The company is looking to expand its digital offerings to leverage its ownership of physical assets like airports, Bloomberg points out.

Atlantia owns Adr, which manages the two main airports of Rome, Fiumicino and Ciampino. It also has a 65% stake in the operator of the French airports of Nice, Cannes and St Tropez. It also controls the Spanish infrastructure company Abertis.

All the details.

THE CLOSING OF THE OPERATION

The closing of the transaction is expected by September 2022. The only condition precedent is relative to the obtaining of consents / authorizations from the competent Antitrust Authorities and regarding FDI (Foreign Direct Investments).

THE ADVISORS

Goldman Sachs Bank Europe SE and Deutsche Bank AG assisted Atlantia in the transaction as financial advisors. Clifford Chance is the legal advisor.

WHAT IS YUNEX TRAFFIC

Yunex Traffic, headquartered in Munich, provides infrastructures and platforms for managing traffic flows and urban mobility in over 600 cities and on 4 continents (Europe, Americas, Asia, Oceania).

THE BUSINESS

Its revenue comes from both the provision of software, hardware, and design, installation and maintenance services. Some of its products include, for example: integrated active traffic management solutions for roads, motorways and tunnels, including applications based on artificial intelligence; connected mobility and vehicle-to-infrastructure communication solutions (V2X); and advanced emission-based dynamic tolling systems. The company has assembly plants and research and development centers located in Europe (the most important of which is in Germany) and the United States.

THE NUMBERS

In 2021, the company generated revenues of € 635 million, up 5% compared to 2020. EBITDA grew by 12% to € 54 million with an EBITDA margin of 8.6%.

THE ORDER PORTFOLIO

The company has a portfolio of approximately 5,000 contracts for the supply of mobility infrastructures and services in 40 countries and 600 cities.

THE ATLANTIA STRATEGY

The acquisition will allow Atlantia to achieve initial operational and growth synergies between its assets and those of Yunex Traffic. The group also plans investments in the core sectors in which the company is a leader (motorways, airports, mobility digital payments).

In particular – Atlantia explains in the note – for the Highways sector, the group plans to increase its competitive advantage in tenders for the award of new concessions, as well as favoring new investments in roads already managed by the concession, with the aim of improving traffic, safety and services provided to road users, and cutting polluting emissions.

With regard to airports, Yunex's contribution will help improve the efficiency of transport near airports and airport parking lots and passenger flows within the terminals and improve the real-time management of vehicles, equipment and baggage in the airside areas, offering thus an even better service to airport users and contributing to the reduction of traffic and emissions.

Finally, the acquisition will allow Telepass to further expand its offer of services for urban areas, developing new mobility and payment solutions and combining congestion charging solutions with digital payment services.
